Chemmanur Gold Saver APP (“Gold Saver App”) (GS App)

END USER LICENCE AGREEMENT

Your use of the Gold Saver App (GS App) is governed by and subject to this Agreement (the “Agreement”) and our Privacy Policy (collectively the “Chemmanur Gold Saver App Terms”).

By downloading and using this Gold Saver App (GS App), you agree to be bound by the Chemmanur Gold Saver App Terms. If you do not agree to the Chemmanur Gold Saver App Terms, you should not download or use the Gold Saver App (GS App).

The Gold Saver App (GS App) is intended to be used in India by the registered Gold Saver App Members for subscribing to the various plans offered by Chemmanur Group of Companies (“*Company”).

A. Licence

The *Company (“our”, “we”, “us”, “Chemmanur Group of Companies”, “provider”) grants the Member (“You”,"User", “Member”, “Customer”) a limited non-transferable licence to install and use the GS App on any supported mobile device or operating system. Your download of the GS App is subject to and conditional upon the terms of download or installation imposed by the operator of the store or shop from where you downloaded the GS App (the “Store Rules”).

  • Use the GS App only on a mobile device that you own or control.
  • Do not distribute or make the GS App available over a network where it could be used by multiple devices simultaneously.
  • Do not rent, lease, lend, sell, redistribute, or sublicense the GS App.
  • Do not copy (except as expressly permitted by this Agreement and the Store Rules), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the GS App or any part of it (except as permitted by applicable law or licensing terms of any open-sourced components).

If you breach any of the terms of this licence, you may be subject to legal action and damages.

B. Changes

The Company reserves the right to revise this Agreement from time to time. We will update the ‘Effective Date’ at the beginning of this Agreement when we make any change. If you do not agree with this Agreement at any time, you should cease using the GS App and delete it from your device. Your continued use of the GS App constitutes your continued agreement to the current Agreement. The Company may change or update the GS App and its features at any time. You may be required to download and reinstall a new version of the GS App if changes and updates are made.

C. Usage

By using this GS App, You agree that you are responsible for maintaining the confidentiality of your account and password and for restricting access to your device. You further agree to accept responsibility for all activities that occur under your account. The Company shall not be liable to any person for any loss or damage which may arise as a result of any failure by you to protect your credentials. If you know or suspect that someone else knows your Password, you should notify us by contacting us immediately at the Contact Details provided at http://www.chemmanur.com or Email: office@chemmanur.com. If the Company has reason to believe that there is likely to be a breach of security or misuse of this GS App, we may require you to change your password or we may suspend your account without any liability to the Company. The Company reserves the right to recover the cost of goods, collection charges and lawyer fees from you if the GS App has been used fraudulently. The Company reserves the right to initiate legal proceedings against you / such persons for fraudulent use of this GS App and any other unlawful acts or acts or omissions in breach of the Chemmanur Gold Saver App Terms.

D. Colors

We have made every effort to display the colors of our products that appear on this GS App as accurately as possible. However, as the actual colors you see will depend on your device, we cannot guarantee that your device’s display of any color will be accurate.

E. Privacy & Personal Information

You agree to provide true, accurate, current, and complete information about yourself as prompted by the GS App during the registration/login process (such information being the "Registration Data"). We collect additional information such as your payment details, password, username, device information, operating system, address during the Plan subscription, buying, redeeming, service request, or other processes from within this GS App. We may also collect information about your use of the GS App to help improve the GS App and our other products and services. All such information, collectively with the “Registration Data” is termed as "Your Information."

You agree to maintain and promptly update the Registration Data to keep it true, accurate, current, and complete. If you provide any information that is untrue, inaccurate, incomplete, or not current, or if the Company has reasonable grounds to suspect that such information is untrue, inaccurate, not current, or not in accordance with this Agreement, the Company has the right to indefinitely suspend or terminate your membership and refuse to provide you with access to this GS App.

We collect, store, and process all information strictly in accordance with the Privacy Policy. The Company utilizes services from different providers for authenticating KYC information, for verifying Bank account details, for processing payments, and for maintaining & enhancing this GS App (collectively termed as “Service Providers”).

Consent for Sharing Information

By using this GS App, you agree and give consent to the Company & its authorized Service Providers that:

  • The Company may share your Aadhaar number, PAN number, and Bank Account details with authorized Service Providers for verification purposes only.
  • The Company may share relevant portions of Your Information with Bank and payment Service Providers for processing relevant payment transactions as per your instructions through this GS App.
  • The Company may utilize GS App maintenance Service Providers to analyze, investigate, and improve the service by using relevant portions of Your Information.
  • The Company may use Your Information to display targeted marketing and advertising to you within the GS App, or otherwise.

Please refer to the Privacy Policy regarding usage, disclosure, and protection of Your Information.

F. Intellectual Property

All materials, including images, text, illustrations, designs, icons, photographs, programs, music clips or downloads, video clips, and written and other materials that are part of this GS App (collectively, the "Content") are intended solely for personal, non-commercial use. The design, trademarks, service marks, processes, technology, logos, and branding displayed on the GS App, along with all Contents and information within it, belong to the Company, its trademark licensors, and other parties (the “Company Intellectual Property”).

The Company Intellectual Property is protected by applicable intellectual property and other laws, including copyright laws, and you must not use it except as strictly permitted by the Chemmanur Gold Saver App Terms.

You may download or copy the Content and other downloadable materials displayed on this GS App for your personal use only. No right, title, or interest in any downloaded materials or software is transferred to you as a result of any such downloading or copying. You may not reproduce (except as noted above), publish, transmit, distribute, display, modify, create derivative works from, sell, or participate in any sale of, or exploit in any way, in whole or in part, any of the Company Intellectual Property.

G. Termination

The Company may discontinue the GS App or terminate your license to use it at any time. We will terminate your license if you fail to comply with the Chemmanur Gold Saver App Terms. Upon termination of the license, you must stop using the GS App and delete it from your device. From time to time, the Company may impose limits on your use of or access to the GS App. Any such termination shall not cancel your obligation to pay for the product already ordered from this GS App or affect any liability that may have arisen under this Agreement.

H. No Warranty

The GS App is provided “as is” and “as available” with all faults. The Company excludes, to the greatest extent permitted by law, all warranties, conditions, and other contract terms with respect to the GS App. The Company does not warrant:

  • (a) Against interference with your enjoyment of the GS App,
  • (b) That the functions contained in or provided by the GS App will meet your requirements,
  • (c) That the operation of the GS App will be uninterrupted or error-free, or
  • (d) That defects in the GS App will be corrected.

I. Pricing Information

While the Company strives to provide accurate product and pricing information, pricing or typographical errors may occur. The pricing of the product may differ on a daily basis and will be updated every day, as the price of gold, silver, or diamond fluctuates. The Company cannot confirm the price of a product until after you have placed an order. In the event that a product is listed at an incorrect price or with incorrect information due to an error in pricing or product information, the Company retains the right, at its sole discretion, to refuse or cancel any orders placed for that product, unless the product has already been received by you.

In the event that an item is mis-priced, the Company may, at its discretion, either contact you for instructions or cancel your order and notify you of such cancellation. Unless the product ordered by you has been received by you, your order will not be deemed accepted and the Company retains the right to modify the price of the product or cancel the order and contact you for further instructions using this GS App, the contact number provided by you in this GS App, or by other such reasonable means. If we have to cancel the order after we have processed the payment, the said amount will be reversed back to the Bank Account designated by you in the GS App after adhering to the terms and conditions at the time of enrollment of various existing and new plans, or to the specific Payment Method used by you while making the payment.

J. Payments

You agree, understand, and confirm that the “Payment Method” details (e.g., card details, UPI ID, etc.) provided by you for availing of services on this GS App will be correct, accurate, and that you are authorized to use the respective Payment Method. The Payment Method details will not be utilized and shared by the Company with any third parties, apart from the purpose for which the Payment Method details were provided, unless required by law, regulation, or court order. The Company will not be liable for any Payment Method fraud. The liability for fraudulent usage of a Payment Method will be attributed to you, and the onus to 'prove otherwise' shall be exclusively on you.

K. Order Cancellations

Cancellation by the Company

Please note that there may be certain orders that we are unable to accept and must cancel. We reserve the right, at our sole discretion, to refuse or cancel any order for any reason, such as limitations on quantities available for purchase, inaccuracies or errors in product or pricing information, or problems identified by our credit and fraud avoidance department. We may also require additional verifications or information before accepting any order. We will contact you using the contact details provided by you in this GS App if all or any portion of your order is cancelled or if additional information is required to accept your order. If your order is cancelled after your payment has been processed, the said amount will be reversed back to the Bank Account designated by you in the GS App after adhering to the terms and conditions at the time of enrollment of various existing and new plans, or to the specific payment method used by you while making the payment.

Cancellations by the Member

In case we receive a cancellation notice and the order has not been processed/approved by us, we shall cancel the order and refund the amount back to the Bank Account designated by you in the GS App after adhering to the terms and conditions at the time of enrollment of various existing and new plans, if any. On cancellation of an order after it has been processed/approved by the Company, the cancellation charges will become applicable at a flat rate of 10% of the order value. The Company has the full right to decide whether an order has been processed or not. The customer agrees not to dispute the decision made by the Company and to accept the Company’s decision regarding the cancellation.

L. Electronic Communications

When you use this GS App or send emails to us, you are communicating with us electronically. You consent to receive communications from us electronically. We will communicate with you by email or by posting notices on this GS App. You agree that all agreements, notices, disclosures and other communications that we provide to you electronically satisfy any legal requirement that such communications be in writing. Pls note we strongly recommend not to disclose passwords, OTP and pin passwords to anyone.

M. Telecommunications Network Operator

Access and use of the GS App occurs across the networks of a number of mobile operators. Because we do not operate or control these networks, we cannot guarantee the privacy or security of data sent over them and we disclaim any responsibility for any network or service used to access and use the GS App. Check with your network service provider for information about their privacy and security practices.

N. Limitation of Liability 

You shall indemnify and hold the Company, its Service Providers, its licensors, sponsors, agencies, and its parents, subsidiaries, affiliates, officers, and employees, harmless from any claim or demand, including reasonable lawyer’s fees, made by any third party due to or arising out of your misuse of the GS App, any breach of the terms and conditions set forth in the Chemmanur Gold Saver App Terms by you, or other users of this GS App using your access ID or credentials if you have disclosed these to any unauthorized person, or otherwise failed to keep these secure. You must use your best efforts to cooperate with us in the defense of any such claim. We reserve the right to employ separate counsel and assume the exclusive defense and control of any such matter subject to indemnification by you.

O. Indemnification

You shall indemnify and hold the Company, its Service Providers, its licensors, sponsors, agencies and its parents, subsidiaries, affiliates, officers and employees, harmless from any claim or demand, including reasonable lawyer’s fees, made by any third party due to or arising out of your mis-use of the GS App, any breach of the terms and conditions set forth in the Chemmanur Gold Saver App Terms, by you, or other users of this GS App using your access ID or credentials if you have disclosed these to any unauthorized person, or otherwise failed to keep these secure. You must use your best efforts to cooperate with us in the defense of any such claim. We reserve the right to employ separate counsel and assume the exclusive defense and control of any such matter subject to indemnification by you.

P. Shopping and Payment Gateways

Registered members are given the privilege to shop from our online store. Maximum protection and security are ensured in this activity as this involves monetary transactions.

Q. Lawful Use

You may not use or otherwise export or re-export the GS App except as authorized by Indian law and the laws of the jurisdiction in which GS App was obtained. By using the GS App, you represent and warrant that you are not located in a country that is subject to an Indian government embargo, or that has been designated by the Indian government as a “terrorist supporting” country and that you are not listed on any Indian Government list of prohibited or restricted parties.

R. Reviews, Feedback, Submissions

All reviews, comments, feedback, postcards, suggestions, ideas, and other submissions disclosed, submitted or offered on or by this GS App or otherwise disclosed, submitted or offered in connection with your use of this GS App (collectively, the "Comments") shall be and remain the Company’s property. Such disclosure, submission or offer of any Comments shall constitute an assignment to the Company of all worldwide rights, titles and interests in all copyrights and other intellectual properties in the Comments. Thus, the Company owns exclusively all such rights, titles and interests and shall not be limited in any way in its use, commercial or otherwise, of any Comments.

The Company will be entitled to use, reproduce, disclose, modify, adapt, create derivative works from, publish, display and distribute any Comments you submit for any purpose whatsoever.

    The Company is and shall be under no obligation:
  • to maintain any Comments in confidence,
  • to respond to any Comments.

You agree that any Comments submitted by you in this GS App will not violate this policy or any right of any third party, including copyright, trademark, privacy or other personal or proprietary right(s), and will not cause injury to any person or entity.

You further agree that no Comments submitted by you in this GS App will be or contain libelous or otherwise unlawful, threatening, abusive or obscene material, or contain software viruses, political campaigning, commercial solicitation, chain letters, mass mailings or any form of "spam".

The Company does not regularly review posted Comments, but does reserve the right (but not the obligation) to monitor and edit or remove any Comments submitted in this GS App. You grant the Company the right to use the name that you submit in connection with any Comments. You agree not to use a false email address, impersonate any person or entity, or otherwise mislead as to the origin of any Comments you submit. You are and shall remain solely responsible for the content of any Comments you make and you agree to indemnify the Company for all claims resulting from any Comments you submit. The Company takes no responsibility and assumes no liability for any Comments submitted by you or any third party.

S.Privacy Policy

*Chemmanur Group of Companies (“Company”, “we”, “us”, “our”) is committed to providing its Customers (“member”, “customer”, "user", “you”, “your”) with a safe, secure, and risk-free online environment committed to protecting their privacy as they share their personal information in this Gold Saver App (GS App). This Privacy Policy sets out our commitment to the privacy of all our customers and outlines the information that we collect, its usage, disclosure, and protection.

(1) Use by Children

Please note that our GS App is not intended for use by children under 18 years of age. We do not knowingly collect information online from or market online to children under 18 years of age.

(2) Collection and Use of Your Information

Your Information (as defined in the Agreement) is collected for registration purposes, transactional purposes, or for enabling mutual communication. This information is securely protected and will not be disclosed to any third party, except as outlined in the Agreement or as governed by Law, Regulation, or Court Order.

(3) Payment Gateway

Registered members are provided with the option to use the Payment Gateway (from a Service Provider) for convenient transactions. Sufficient protection and security measures are in place for this activity, as it involves monetary transactions. The information collected through the Payment Gateway is used solely for its intended purpose.

T.Governing Law and Jurisdiction

The Chemmanur Gold Saver App Terms and your use of the GS App are governed by and subject to the laws of India. The Courts at Bangalore,Karnataka-India and shall have exclusive jurisdiction in any proceedings arising out of this Agreement.

Arbitration Clause

Any dispute or difference, either in interpretation or otherwise, regarding any of the Chemmanur Gold Saver App Terms, shall be referred to an independent arbitrator. The arbitrator’s decision shall be final and binding on all parties involved.

The arbitration will be conducted in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration proceedings shall take place in Bangalore, Karnataka, India.

U.Third Party Beneficiaries

You agree that the owner of each operating system on which the GS App is made available (“OS Owner”) and its subsidiaries are third party beneficiaries of these Chemmanur Gold Saver App Terms, and that the OS Owner will have the right (and will be deemed to have accepted the right) to enforce applicable portions of these Chemmanur Gold Saver App Terms against you, the end-user, as a third party beneficiary.
